Name, Headquarters and Areas of Activity The association is called “International Amateur Kickboxing Sport Association” hereafter referred to as IAKSA It is a non-profit, non-political association established on democratic principles IAKSA is an international sports organisation for individual national Amateur Kickboxing Associations It is active all over the world and has its headquarters in RAVENNA, ITALY. II. Objects IAKSA is a non-profit organisation whose activities include the following: 1. Promoting the sport of kickboxing 2. Research and development in the sport of kickboxing 3. Organising international championships, tournaments, contests between countries and large sporting events (continental and world championships. Organising courses, lectures, social gatherings, discussion evenings, international visits and contacts 4. Supporting and co-operating with international sports organisations 5.Providing administrative and other appropriate support to its members 6. Representing and supporting the interests of it is members at national and international level 7. Providing information in print (circulars) and digital form (home page) and the establishment of a library III. Rules and regulations 1.IAKSA issues the following rules and regulations: a. Amateur kickboxing competition rules b. Refereeing Regulations c. Guidelines for organising competitions d. IAKSA print material e. Fees and Penalties 2. Rules and regulations are passed by the council 3.All member associations and their respective members (fighters, coaches and officials) must adhere to IAKSA rules and regulations at international competitions organised by IAKSA as well as at national and international competitions which they themselves have organised 4. All member associations and their respective members (fighters, coaches and officials) must adhere to the rules and regulations of WADA (World Anti-Dopimg Agency) at international competitions organised by IAKSA as well as at national and international competitions which they themselves have organised IV. Dan Grading Member associations may conduct gradings up to and including 4th Dan. Gradings above 5th Dan are to be conducted by IAKSA V. Funding IAKSA is funded by: 1. Income from sports events 2. Sponsors 3. Public subsidies 4. Donations, inheritances, presents and other means. IAKSA funds may only be used for promoting the sport of kickboxing. This includes administration of the association, organisation of competitions and courses. VI. Internal Rules of Procedure A simple majority at the general assembly is required for passing rules of procedure for IAKSA and its organs as well as commissions and other committees set up by IAKSA. With a 2/3 majority the general meeting may delegate this responsibility to the executive committee. VII. Membership. There is no entrance fee. Everyone can become member of IAKSA Federation and have voting rights at the annual general assembly. All the members can participate in the association's activities. VIII. Obtaining membership Before IAKSA was constituted membership was granted by the proponents. This membership became effective with the constituting foundation meeting. The council may refuse membership without giving reasons. IX. Loss of membership Membership ceases through: 1. Dissolution of a member association. 2. Voluntary relinquishment of membership. Any member intending to relinquish membership must inform the general secretary of this intention by registered mail. Any outstanding membership fees must be paid but any membership fees already paid will not be refunded. 3. Expulsion. The council may expel a member provided both parties have been heard, a third of the members are present and there is a 2/3 majority. The expelled member may appeal to the next general assembly. The member should indicate their intention to do so to the general secretary by registered mail with 14 days of receiving notification of expulsion. Expulsion is postponed if notification of intention to appeal is given in the prescribed period. A decision on the appeal by the annual general assembly is binding on the expelled member, other member associations and individual members. Grounds for expulsion are: a) Behaviour detrimental to the association b) Behaviour detrimental to the sport of kickboxing c) Dishonourable behaviour d) Serious infringements of membership obligations e) Failure to comply with directives of the council f) Failure to pay membership fees and/or other fees and contributions within 6 weeks despite a reminder. The general assembly may expel an honorary member on application of the council for the above reasons. X. Rights and Obligations of Members IAKSA members may use the facilities of the association. They also have the right to send delegates to the general assembly and have voting rights and may stand for election in accordance with the statues The members can be represented at the annual general assembly only by delegates over the age of 19 . All officials of IAKSA member associations may stand for election. They must be over 19 and not be subject to an expulsion procedure. Members are obliged to preserve the image of IAKSA and to always act in the interests of IAKSA. They are obliged to adhere to IAKSA statutes, to promote the interests of IAKSA and follow the directives of the council. All member associations are required to make sure that their fighters are adequately insured - particularly against the consequences of sports accidents - as soon as they become actively involved in the associations activities. IAKSA and its bodies accept no liability whatsoever towards member associations as far as doing so does not infringe laws. The burden of proof for establishing any liability of IAKSA and/or its bodies rests with members. XI. Bodies of IAKSA 1. General Assembly 2. Council 3. Executive Commitee 4. Account Auditors 5. Court of Arbitration XII. General Assembly The members of the council, the account auditors, all the members are invited to attend the general assembly. Each member may send only two responsible officials to the general assembly. If such responsible officials of a member association are unable to attend, an association may send delegates who must identify themselves with a letter of empowerment from that association. Each member have one vote. All officials of IAKSA member associations may stand for election. They must be over 19 and not be subject to an expulsion procedure. The right to vote and stand for election is not transferable. The general assembly takes place every three years. The general secretary will send out notification and an agenda four weeks before the meeting is due to take place to the last known address of member associations. An invitation will follow by regular mail (not registered). Invitations may be sent by e-mail. Proposals for the agenda must be sent to the general secretary by registered mail 14. days beforehand. Applications to prolong the agenda must be supported by 10 percent of members eligible to vote. An extraordinary General Meeting must be called if at least half of the council or two thirds of members make a request to this effect by registered mail to the general secretary indicating the point(s) under discussion. Written invitations to an extraordinary general assembly must be sent out four weeks in advance. The General Assembly: 1. Approves the minutes of the last General Assembly 2. Accepts reports from the council 3. Accepts the cash report 4. Accepts the auditors report 5. Releases the council from liability 6. Elects the members of the council, the two account auditors, the members of the advisory board and the three arbitrators. 7. Decides on appeals against expulsion 8. Approves IAKSA rules of procedure 9. Determines membership fees. Approves fees and penalties, regulations. 10. Changes in statutes for which a two thirds majority is required. 11. Granting and withdrawing honorary membership. 12. Dissolution of the association The general assembly may grant or revoke honorary membership only after decision of the council. Decisions of the general assembly are taken by simple majority. The president has a casting vote. A two thirds majority is required to change the statutes. The general assembly is quorate when half of those members who are eligible to vote are present. If the general assembly is not quorate the president may orally call a further general assembly which can be held a quarter of an hour after the original meeting was to begin. This meeting is deemed to be quorate. If a general assembly does not take place the council remains in office until the next general assembly which is to be called within three months. The President chairs the general assembly. If he/she is unable to attend, he/she may nominate a representative. If the nominated representative is unable to attend then the oldest (age) member of the council will chair the meeting XIII. Council The council is elected by the general assembly for a period of 3 years. The council consists of the following officials: Honorary president President Vice-president General Secretary The Association’s Doctor Chairman of the Referee & Rules Committee Chairman of the Medical Committee Chairman of the Events & PR Committee Director of the American States Director of East European States Director of West European States Director of Arabian States Director of African States and Asian States The council decides on all matters that are not the prerogative of the general assembly. It is quorate if the president or vice-president and one third of the members are present and decisions are taken by simple majority. The President or Chair (Member of the executive committee) has a casting vote. With a 2/3 majority the council may delegate individual tasks to the executive committee to the end of the period of office at the latest. In exceptional circumstances the executive committee (Honary president, president, vice- president and general secretary has the right to take decisions on its own but the subsequent approval at the next meeting of the council is required. Meetings can be held and decisions taken at a distance (e.g. Video conferencing or Internet chat) or by circular decision. IAKSA is represented by the following committee members: 1. The president on his own 2. In the absence of the president, the vice-president together with the general secretary In financial matters the president signs together with the general secretary The general secretary is responsible for financial matters in IAKSA, keeping accounts and collecting receipts. If a member of the council resigns or retires the council may appoint an eligible member in his/her place and seek the subsequent approval of the next general assembly. With a 2/3 majority, the council has the right to suspend a member in the event of an infringement of IX Z 3 he president calls meetings of the council and takes the chair XIV. The Executive Committee The executive committee consist of the honorary president, the president, vice-president and general secretary. It takes decisions on urgent matters. Such decisions need the subsequent approval of the next meeting of the council. Meetings can be held and decisions taken at a distance (e.g. Video conferencing or Internet chat) or by circular decision. XV. Account Auditors The two auditors are elected by the general assembly for a period of three years. They may not be members of the council. Both auditors may attend meetings of the council in an advisory capacity. They are responsible for auditing the administration of the association and should conduct audits at appropriate intervals. They are to be given access to minutes and other material necessary for them to perue their supervisory function. Information is to be given to them on demand. They report to the general assembly. An audit should be carried out at least once a year. XVI. Court of Arbitration The arbitrators decide on all points of contention within IAKSA between members, honorary members, committee members and officials. The court of arbitration is made up of three arbitrators elected by the general assembly. It elects its own chair and takes decisions by simple majority when all members are present. Should a member of the arbitration committee be deemed biased on a certain matter then the court of arbitration will co-opt a substitute (with voting rights). Both parties to a dispute must be heard. Within IAKSA decisions of the court of arbitration are final. XVII. Commissions On the president’ s proposal the following commissions will be asked to advise the council: a) Rules and referees commission b) Events and PR commission c) Medical commission The council may set up commissions to deal with other matters XVIII. Advisory Board The members of the advisory board are elected by the general assembly for a period of three years. The advisory board will be asked to advise the executive committee. The advisory board is made up of three to seven members. XIX. Dissolution The voluntary dissolution of IAKSA may only be effected at an extraordinary general assembly called for this purpose. A 2/3 majority is required. This general assembly has also to decide on how any remaining assets are to be disposed of. The general assembly should appoint a receiver and decide what is to to be done with the remaining assets after debts have been paid. As far as is possible and permissible any remaining assets should pass to an association with the same or similar aims. Failing this the money should be used for charitable purposes. |
